End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User") and SteerPulse ("Company") for the use of the SteerPulse software platform ("Software").

1. License Grant

Subject to the terms of this EULA and your valid subscription, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business operations.

2. Restrictions

You may not:

  • Copy, modify, or distribute the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Sublicense, sell, or lease the Software to third parties
  • Use the Software to build a competing product
  • Remove any proprietary notices from the Software
  • Use the Software in violation of applicable laws

3. Intellectual Property

The Software, including all code, designs, trademarks, and documentation, is owned by the Company. This EULA does not transfer any ownership rights to you. Your business data remains your property.

4. Technician Accounts

The Software allows you to create accounts for your technicians. You are responsible for ensuring your technicians comply with this EULA and for managing their access appropriately.

5. Updates and Modifications

The Company may update the Software at any time to add features, fix bugs, or improve performance. Updates are automatically applied and are governed by this EULA.

6. Availability

The Company will use reasonable efforts to maintain the availability of the Software but does not guarantee uninterrupted access. Scheduled maintenance and unforeseen outages may occur.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SOFTWARE, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.

9. Termination

This EULA is effective until terminated. It will terminate automatically if you fail to comply with any term. Upon termination, you must cease all use of the Software. The Company may terminate your license at any time with notice.

10. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is registered, without regard to conflict of law principles.
